Objectives

The "Juriste d'entreprise (JE)" (Corporate attorney) Master's 2 deals with corporate law and the professions associated with it (corporate lawyer, HR lawyers, attorneys, solicitors). The Corporate Lawyer Master's programme belongs to the "Juriste d'entreprise" Institute (IUP) of Université Evry-Val-d'Essonne.
The "Juriste d'entreprise" Master's 2 programme naturally follows on from the "Juriste d'entreprise" Master's 1, which is based on the same methods and principles. It is, however, also open to applicants from outside the Master's 1 programme who have completed undergraduate studies in private law, particularly focussing on contract law, corporate law and employment law. It mainly leads to the professions of corporate lawyer or business solicitor (specialising in companies).
Like the Master's 1, the Master's 2 teaching team is made up of both academics and working professionals. The primary focus is on theory, enabling students to acquire and strengthen the foundations they will need in order to exercise the professions in question. Nevertheless, most of the teaching units include a practical aspect as well. In addition, there are a significant number of purely practical classes (tutorials, tutored projects, workshops, simulation exercises, etc.), that give students more direct contact with the the practise of corporate law.
The discipline has its own student association (AEJE), which organises promotional operations (discounted books, etc.) and integration events, strengthening the identity of this field of study.
The programmes' objectives are as follows:
-Master the fundamental rules of corporate law: in the JE M2, corporate taxation, financing law and applied financial law, industrial property law, applied security law, private international law business, in-depth employment law (social protection, collective bargaining, CSE, secondment and expatriation), international trade law and corporate law and corporate techniques; the first semester is mainly theoretical while the second semester has a greater focus on practical teaching.
-Understand the economic and managerial functioning of the company: in the JE M2, contractual management (contract negotiation techniques, conflict resolution techniques) as well as business financing plans (Business plan) are studied.
-Have good command of legal English
-Further integrate into the profession (compulsory apprenticeships, assistance in finding apprenticeship with the CFA, assistance in preparing CVs, preparation for job interviews, etc.)
-Be proficient in legal analysis, drafting various acts and notes (summarising) and presenting work orally: this skill is assessed at the end of the year with the submission and oral presentation of a professional thesis.
The JE M2 is a vocational Master's degree, taught:
-in small numbers (33 students maximum), which promotes interaction between teachers and students and communication between students;
-by academics and professionals (corporate lawyers and solicitors) to combine provide a variety of perspectives;
- through courses and tutorials that emphasise practical aspects (Case studies, analysis of contracts and litigation files).
To explain the programme to students, so that they may understand the content, the way it is taught and what to expect, a so-called "pre-re-entry" meeting is held at the start of the year, during the first week of the course. This meeting gives an overview of the course, describing the practical aspect of the classes, the teaching and management team, the requirements expected of students (particularly regarding apprenticeship) and the various events that will take place throughout the programme (integration seminar, annual conference, workshops with professionals, visits to courts, law firms and companies, etc.).
The JE M2 offers a wide range of opportunities
-Business lawyers or employment lawyers
-Business lawyer in a company
-Human resources lawyers
-Solicitor for an accounting firm
The JE M2 offers two different study paths:
-The qualification obtained allows students to sign up for an CRFPA (certificate of aptitude for the profession of lawyer) exam;
-The qualification obtained allows students to enrol in a thesis programme, mostly as part of a CIFRE contract.

Each module is consistent with the following programme objectives:
1) Understand the fundamental rules of corporate law, a subject dealt with in the following teaching units:
- TAXATION AND FINANCING (Corporate tax law, Financing law, Applied security law)
- CORPORATE LAW (Industrial property law, Company techniques, Collective bargaining technique, in-depth social law)
- INTERNATIONAL CORPORATE LAW (International Business Law, International Trade Law, International and European Employment Law)
2) Understand the economic and managerial functioning of the company:
- CONTRACTUAL MANAGEMENT
- COMPANY TREASURY (Financial Strategy, Accounting for entrants directly in JE M2)
3) Good command of legal English
- LIVING LANGUAGE I AND II (Legal English, Preparation for TOEIC)
4) Develop professional integration:
- IMMERSION IN THE COMPANY (Apprenticeship, methodology for writing the professional dissertation)

Skills acquisition is monitored in the classic way, on three separate levels:
-Acquisition of theoretical knowledge
-Acquisition of practical skills
-Acquisition of interpersonal skills
The first two levels are monitored via written or oral tests and methods of continuous assessment. The apprenticeship brings more depth to both these levels, while also developing interpersonal skills.
The teaching team particularly strives to translate taught subjects into real skills and to develop units that put students in real-life professional situations. There are classes designed specifically to further practical skills and interpersonal skills.

  • Understand the fundamentals of corporate law and its economic context (accounting, financial strategy, etc.).

  • Identify all the legal issues raised by a given situation in order to have a transversal and comprehensive overview (actions required to set up an economic activity, employment management, financing, industrial property, international trade, etc.).

  • Work independently by combining autonomy of function (understanding matters, legal analysis and practical response) and of materials (use of research and communication tools) with social autonomy (working alone and in a team) and temporal autonomy (management of workload and priorities).

  • Be able to write reasoned and concise notes, consultations, conclusions or requests, statutory and extra-statutory pacts, contracts (eg. clauses of commercial contracts, employment contracts, collective agreements) and administrative documents (eg. CERFA forms).

  • Have a good command of legal English both in writing and orally.
